1. Acceptance of These Terms
These Terms and Conditions (the "Terms") are a legally binding agreement between you ("you") and AngelGate Solutions ("we," "us") governing your access to and use of the Aguas marketing page and the Aguas Community platform (together, "Aguas").
By accessing or using Aguas you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use Aguas.
2. What Aguas Is (and Is Not)
Aguas is a free community platform for discovering, sharing, and celebrating healthy Hispanic and Spanish recipes. It is not a medical, dietary, or nutrition-advice service, and recipe content is submitted by community members, not reviewed by a nutritionist or medical professional. It is also not a grocery-delivery, e-commerce, or food-safety certification service.
3. Eligibility & Accounts
Age. You must be at least 13 years old (or the higher minimum age required in your jurisdiction) to create an account.
Your account. You agree to provide accurate information, keep your credentials confidential, and notify us promptly at support@orbixapp.com of any suspected unauthorized use. You are responsible for activity under your account.
4. User-Generated Content & Community Guidelines
You retain ownership of the recipes, photos, comments, and other content you post ("Your Content"). By posting it, you grant AngelGate Solutions a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute Your Content within Aguas, solely to operate and promote the community.
You represent that you have the rights necessary to post Your Content (for example, it's your own family recipe or photo, or you have permission), and that it does not infringe anyone else's rights or violate any law. Your Content is visible to other community members by design — do not post information you don't want shared with the community.
We may remove content or suspend accounts that violate these Terms, but we have no general obligation to monitor, review, or moderate user content and are not responsible for its accuracy, nutritional claims, or safety.
5. Acceptable Use
You agree not to: post content that is unlawful, infringing, harassing, or hateful; impersonate another person; spam or scrape the platform; post someone else's copyrighted recipe, photo, or content without permission; or attempt to gain unauthorized access to accounts or systems. We may investigate suspected violations and take appropriate action, including content removal and account suspension.
6. Intellectual Property & License
Our property. The Aguas software, design, branding, and all materials other than Your Content are owned by AngelGate Solutions or its licensors.
Your license to use Aguas. Subject to these Terms, we grant you a personal, limited, non-exclusive, revocable license to access and use Aguas for its intended community purpose.
Feedback. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without compensation or attribution.
7. Privacy
Our Aguas Privacy Policy describes what information Aguas collects and how it is used, including that content you post is visible to other members. By using Aguas you consent to those practices.
8. Third-Party Services & Links
Aguas content may reference or link to third-party sites. Those are governed by their own terms and policies, and we are not responsible for them.
9. Availability, Changes & Termination
Aguas is provided free of charge. We may update, modify, suspend, or discontinue Aguas or any feature at any time without liability. You may stop using Aguas and delete your account at any time. We may suspend or terminate your account if we reasonably believe you have violated these Terms or applicable law.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGUAS IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, NUTRITIONAL CONTENT, OR SAFETY OF ANY RECIPE OR OTHER USER-SUBMITTED CONTENT. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING WHETHER A RECIPE IS SUITABLE FOR YOU, INCLUDING ANY ALLERGIES, DIETARY RESTRICTIONS, OR HEALTH CONDITIONS. CONSULT A QUALIFIED PROFESSIONAL BEFORE RELYING ON ANY RECIPE OR HEALTH-RELATED CLAIM YOU FIND ON AGUAS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANGELGATE SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY DAMAGES RELATING TO USER-SUBMITTED CONTENT, INCLUDING ANY RECIPE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR AGUAS WILL NOT EXCEED FIFTY U.S. DOLLARS (USD $50), SINCE AGUAS IS PROVIDED FREE OF CHARGE. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.
12. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless AngelGate Solutions from claims arising out of Your Content, your use of Aguas, or your violation of these Terms or applicable law.
13. Dispute Resolution: Informal Resolution, Binding Arbitration & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS, UNLESS YOU OPT OUT.
Informal resolution first. Before initiating arbitration, you and we agree to first attempt to resolve any dispute informally by contacting support@orbixapp.com. The parties will negotiate in good faith for at least sixty (60) days.
Binding arbitration. Any dispute not resolved informally will be finally resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, governed by the Federal Arbitration Act.
Class action and jury trial waiver. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Exceptions. Either party may bring an individual claim in small claims court or seek injunctive relief to protect intellectual property rights.
30-day right to opt out. You may opt out of this arbitration agreement by emailing support@orbixapp.com with the subject "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms.
14. Governing Law & Venue
These Terms are governed by the laws of the United States and, to the extent applicable, the state in which AngelGate Solutions is established, without regard to conflict-of-laws principles. Subject to Section 13, any dispute that may be brought in court shall be brought exclusively in the state or federal courts located there.
15. General Provisions
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding Aguas.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign them freely.
- Notices to us should be sent to support@orbixapp.com.
16. Changes to These Terms
We may modify these Terms as Aguas evolves. We will update the "Last updated" date above and, for material changes, provide reasonable advance notice. Your continued use after changes take effect constitutes acceptance.
